These Terms and Conditions of Use (the “Terms of Use”) apply to https://videostory.app/ (the “Website”) and VideoStory App.

These Terms of Use govern your access to, and use of, the Website and VideoStory App. You should carefully read these Terms of Use before using the Website and VideoStory App because by using and/or visiting the Website and VideoStory App, you agree to be bound by these Terms of Use.

VideoStory App is not intended for use by a legal entity.

If you do not agree with these Terms of Use, immediately stop using the Website and VideoStory App.

Introduction

Hyper5 Ltd, a company incorporated in Mauritius (registration number 167371 AC) with its registered office at 3rd Floor Standard Chartered Tower, Cybercity Ebene, Mauritius, 72201 (“Hyper5” or “we”) will provide you with the access to the Website and VideoStory App (the “Services”).

Hyper5 offers both free and paid subscriptions.

Free Subscriptions

Your Free Subscription allows you to receive part of the content, including 15 templates, free of charge. However, there are a few restrictions on this. Firstly, we may limit, change, or modify the functionality that we provide to Free Subscriptions at any time. Secondly, we reserve the right to embed a watermark in any videos created through the Services and published by you. You agree not to remove watermarks from such videos unless you upgrade to the Paid Subscription.

By embedding a watermark in such videos, we are not endorsing, and we assume no liability for, the content of such videos or their use. Finally, you agree that we may terminate your Free Subscription at any time, without notice.

Paid Subscriptions

We offer you the option to upgrade your Free Subscription to a Paid Subscription. Paid Subscription is a one-time payment product with seven days term. Paid Subscriptions are renewable on a weekly basis. For weekly subscriptions, your card will be automatically charged commencing on the date you elect to purchase or upgrade to a Paid Subscription; and thereafter you will be automatically charged at the beginning of your next billing cycle until you cancel your subscription.

If you wish, you can cancel your Paid Subscription at any time. Once you choose to downgrade or cancel your Paid Subscription, it will remain active for the remainder of your current subscription period but will not be renewed once that subscription term expires. You will not receive a refund for pre-paid portions of your subscription term.

If any fee is not paid in a timely manner, or your transaction cannot be processed using the credit card information provided, We reserve the right to suspend your Paid Subscription.

We may change the fees and charges in effect, or add new fees and charges from time to time, for the next billing cycle, but we will give you prior notice of these changes via push notifications and amended Terms of Use.

Our Paid Subscriptions are prepaid and are non-refundable, except as required by law. We do not provide refunds or credits.

Privacy Policy

Privacy of your personal data is of outmost importance to Hyper5. We believe you have the right to always know how information about you is collected, used, and disclosed by us when you use our Services, or otherwise interact with us. Hyper5 provides a Privacy Policy explaining how we collect and process your personal data and protect your privacy when you use our Services. By using our Services, you agree that we can use such data in accordance with our Privacy Policy.

User Content

In order to provide our Services, we need your permission to access your photos, videos and microphone (collectively “User Content”).

You retain full ownership to your User Content. We don’t claim any ownership to any of it. These Terms of Use do not grant us any rights to your User Content or intellectual property.

You are solely responsible for your conduct, the content of your media files and video projects while using the Services. The platforms where you publish your User Content reserve the right to review your User Content at any time to ensure it does not contain any Prohibited Content. For the purpose of these Terms of Use, “Prohibited Content” includes any content that:

  • is obscene, patently offensive, or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  • harasses or advocates harassment of another person;
  • involves the transmission of “phishing” emails, “junk mail”, “chain letters”, or unsolicited mass mailing or “spamming”;
  • promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
  • promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files;
  • provides material that is sexual or violent in nature; or
  • provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses.

We are not responsible for the accuracy, completeness, appropriateness, or legality of your User Content.

Your Responsibilities

You are responsible for any activity using Services, whether or not you authorized that activity.

Media files and other content in the Services may be protected by intellectual property rights of others. You are expressly prohibited from copying, uploading, downloading, or sharing files unless you have the right to do so. You, not Hyper5 Ltd, will be fully responsible and liable for what you copy, share, upload, download or otherwise use while using the Services. You must not upload spyware or any other malicious software to the Services.

You, and not us, are responsible for maintaining and protecting all of your User Content. We will not be liable for any loss or corruption of your User Content.

License and ownership

Hyper5 hereby grants you a non-exclusive, non-transferable, limited, revocable right to use the Services during the term of your subscription, solely for your own personal purposes and subject to these Terms of Use.

All rights not expressly granted to you are reserved by Hyper5 and its licensors. You may not access the Services for purposes of monitoring its availability, performance or functionality, or for any other benchmarking, reverse engineering, or other competitive purposes. You shall not license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Services or any Hyper5 proprietary technology used in the provision of the Services (including software, hardware, processes, know-how, algorithms, techniques, designs and other tangible or intangible technical material or information); modify or make derivative works based upon the Services; embed the Services as a “iframe” or “frame” from within another application; or reverse engineer or access the Services in order to build a competitive product or service, build a product using ideas, features, functions or graphics that are similar to those related to the Services, or copy any ideas, features, functions or graphics of the Services.

You may use the Services only for your own personal purposes and shall not: send or store material containing software viruses, worms, trojan horses or other harmful computer code, files, scripts, agents or programs; interfere with or disrupt the integrity or performance of the Services or the data contained therein, or Hyper5’s websites, servers or networks; attempt to gain unauthorized access to the Services or its related systems or networks; or take any action that imposes an unreasonably or disproportionately large load on Hyper5’s infrastructure. Hyper5 shall be entitled to adjust the scope of the Services and the underlying technical infrastructure to reflect the continuing development of the Services and technical advances.

You acknowledge and agree the Services cannot be shared or used by more than one individual.

Hyper5 alone (and its licensors, where applicable) shall own all copyright, trademarks, patents, service marks, trade names, rights in know-how, database rights, design rights and other intellectual property rights or equivalent forms of protection, of whatever nature arising anywhere in the world, whether registered or unregistered and including applications for the grant of such rights (“Intellectual Property Rights”) in and to the Services and any derivatives, suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Services, and any aggregated metrics, data and trends compiled by Hyper5. These Terms of Use do not convey to you any rights of ownership in or related to the Services.

Services are Available “As-Are”

The Services are provided “as are” at your own risk, and “as available” without warranty of any kind, either express or implied, including but not limited to, fitness for a particular purpose, title, or non-infringement. No advice or information, whether oral or written, obtained by you from us, our employees, agents, suppliers or any other persons shall create any warranty, representation or guarantee not expressly stated in this paragraph. Additionally, we do not make any warranties that the Services will be uninterrupted, secure or error free or that your use of the Services will meet your expectations, or that the Services, or any portion thereof, is correct, accurate, or reliable. We reserve the right to change any part of the Services at any time without notice. We have no responsibility for any harm to your mobile device based systems, loss or corruption of data, or other harm that results from your access to or use of the Services.

Termination

You can stop using our Services any time. We reserve the right to suspend or end the Services at any time, with or without cause, and with or without notice. We may suspend or terminate your use of the Services if you are not complying with these Terms of Use, or use the Services in any way that would cause us legal liability or disrupt others’ use of the Services.

Representations & Warranties

Each party represents and warrants that it has the legal power and authority to enter into this Agreement. Hyper5 represents and warrants that it will provide the Services in a manner consistent with applicable industry standards.

Limitation of Liability

IN NO EVENT SHALL EITHER PARTY AND/OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF THESE OF USE.

Notwithstanding the foregoing, nothing in these Terms of Use shall seek to restrict either party’s liability for fraud, death or personal injury caused by its negligence, nor any other liability, which a party is not permitted to restrict or exclude as a matter of applicable law.

Modifications

We may revise these Terms of Use from time to time and the most current version will always be posted on our website. If a revision, in our sole discretion, is material we will notify you. Other changes may be posted to our Terms of Use page, so please check this page regularly.

By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms of Use. If you do not agree to the new terms, please stop using the Services.

Governing Law

Any matters arising from these Terms of Use shall be governed by and interpreted in accordance with the laws of the Republic of Mauritius.
